| SALES' CONDITIONS |

| GENERAL |
These conditions are integrated part of the agreement between our clients and us. |

Conditions opposing the purchase of our clients are not accepted even in case where we do not |
| |
turn them down. |
| |
|
|
| ACCEPTANCE OF |
We reserve the right to refuse orders if the producer cannot deliver his goods in provided time. |
| ORDER |
All difference emenating from drawings or illustrations, written explanations or errors are also reserved. |
| |
When passing an order, the purchaser does accept these conditions. |
| |
|
|
| PRICE |
All quotations are understood quoted net, VAT will be added or is already included. Increases of prices |
| |
are reserved. If there is an increase, immediately after having passed the order, the purchase may |
| |
withdraw the order. |
| |
|
|
| |
|
|
| CONFIRMATION |
Orders are executed within 3-10 days if the goods are in stock; in case of delays to the producers |
| OF ORDER |
the order or part of it will be set to arrears. |
| |
|
|
| DESPATCH |
Goods will be forwarded by postal service, parcel services or by truck. The goods voyage at the risk |
| |
of purchasers. |
| |
|
|
| |
As sson as the goods are obtained, they have to be examined of outer damages of the parcels and if |
| CLAIMS |
positive, you must write your reserve on the delivery note. Damages of the goods have to be announced |
| |
within 5 to 7 days to the transport company and to us. Afterwards the goods are regarded as complete |
| |
and accepted. |
| |
|
|
| TRANSPORTCOSTS |
We sell free your domicile in Germany and Switzerland from an amount of EURO 250 or CHF 400; |
| ""DELIVERED TO |
if under this amount, freight will be added of EURO 15 or CHF 25; for small parcels an amount of |
| DOMICILE"" |
EURO 8 or CHF 12 will be added. For voluminous goods, freight charges will be added on invoice. |

|
| PAYMENT |
Delivery is made against advanced payment and a deduction of 3% discount; well known clients obtain |
| |
their goods agains invoice payable within 30 days or within 10 days under deductions of 3% discount. |
| |
The purchaser is not allowed to hold back any payment for the reason of warranty claims or to set off |
| |
aginst claims legally not accepted. |
| |
|
|
| DELAY OF |
If the payment of a client is delayed, the is no claim of further delivery of goods. We reserve the right |
| DELIVERY |
to refuse such orders. |
| |
|
|
| PROPERTY OF |
Goods stay our property as long as the total of all invoices is not paid. Competent court is Basel for the |
| GOODS |
claims of the two parties. |
| |
|
|
| GOODS TO BE |
By principle, we do not accept any return of goods as long as we de not agree to it. If agreed, they |
| RETURNED |
must be returned in original packing, free of any transport costs, to a store of our choice. Damaged goods |
| |
or those with traces of use or any other, will not be accepted. |
| |
|
|
| WARRANTY |
Goods delivered with faults are repaired by us or will be exchanged against those of identical quality or |
| |
same kind; purchasers have no right of exchange or price reduction. Copensation for any reason are excluded. |
| |
|
|
| The above mentionned goods are covered by a warranty of 180 days after the sales date or more if the producer is guaranteeing |
| a longer period. It covers faults of material or mounting. It will not be covered if the warranty card is not signed by the retailer; |
| as exception we do accept the cash receipt with the sale's date. |

| HOW TO USE THE WARRANTY |

Claims of damaged goods may be settled directly with us or with the retailer |

We do tell you immediatly to which service point you have to address the goods in original packing, |

As enclosure you explain the fault of the defect goods. |

You indicate your full address including your telephone number |
| |

| |
If the gurantee is accepted, you will receive the article repaired or replaced; otherwise you will received an |

offer for repair. |

| C. |
CONDITIONS OF TRANSPORT |
| |
|
|
| |
The obtained goods have to be examined when brouht by teh transport company. If there are damages, |
| |
damaged cartons, you write a reserve on the delivery not and signed it. Damages of goods have to be |
| |
announced within 5-7 days by letter to the transport company and to us. Do not dispose of the packing |
| |
material, until the export of the insurance company has inspected the goods and their packing. |
